Commercial Law

Commercial law is the generic term for all legal regulations and pre-conditions in German and international business transactions. It comprises all cases of distribution rights as well as all rules of company law in connection with the foundation of a company, the establishment of branches, with co-operations and mergers.

Insofar as services to be rendered in the field of commercial law can be separately described and represented, you will find our service offering under the corresponding headline, for example "Distribution concepts such as franchising and e-business" or "Commercial representative and authorised dealer law".

Spanning and complementing this field, company law provides the framework for entrepreneurial action in all its shapes, from founding a new company and establishing affiliates and branches to co-operations, mergers and takeovers. Apart from big events you read about in the business press, there are myriads of smaller details at a lower level that need to be determined during such entrepreneurial actions such as establishing a branch or an affiliate, appointing a managing director, investing in a supplier company or buying shares in a company, disputes between partners or a new company concept.

  • Foundation of companies and acquisition / reorganisation of shelf companies
  • Drafting managing director or other board member contracts, rules of procedure and termination agreements
  • Modification of company agreements and disputes about such agreements
  • Accompanying the establishment of e.g. branches and affiliates in other countries
